Harrison Software and Services, LLC employees adhere to the HIPAA guidelines. You are welcome to print our HIPAA Business Associate Agreement and maintain it in your files as a valid agreement under which Harrison Software employees will treat all PHI that is collected, processed or learned as a result of any of our services rendered.

HIPAA Business Associate Agreement

1. Harrison Software and Services, LLC will carry out its obligations to all clients, hereafter referred to as the “Client”, under this Agreement in compliance with the privacy regulations pursuant to Public law 104-191 of August 21 st, 1996, known as the “Health Insurance Portability and Accountability Act of 1996, Subtitle F – Administrative Simplification”, sections 261, et. seq., hereafter referred to as “HIPAA”, to protect the privacy of any personally identifiable protected health information (PHI) that is collected, processed, or learned as a result of the services provided under this Agreement. Harrison Software agrees that it will:
 
a. Not use or further disclose PHI except as permitted under this Agreement or required by law.
b. Use appropriate safeguards to prevent use or disclosure of PHI as permitted by this Agreement.
c. To mitigate, to the extent practicable, any harmful effect that is known to Harrison Software of a use or disclosure of PHI not provided for by Harrison Software in violation of this Agreement.
d. Report to the Client any use or disclosure of PHI not provided for by this Agreement of which Harrison Software becomes aware.
e. Ensure that any agents or subcontractors to whom Harrison Software provides PHI, or who have access to PHI, agree to the same restrictions and conditions that apply to Harrison Software with respect to such PHI.
f. Make PHI available to Client and to the individual who has a right of access as required under HIPAA within 30 days of the request by Client or the individual.
g. Incorporate any amendments to PHI when notified to do so by Client.
h. Provide an accounting of all uses or disclosures of PHI made by Harrison Software as required under the HIPAA privacy rule at the request of Client within 60 days.
i. Make its internal practices, books, and records relating to the use and disclosure of PHI available to the Secretary of the Department of Health and Human Services for the purpose of determining Harrison Software’s and Client’s compliance with HIPAA.
j. At the termination of this agreement, return or destroy all PHI received from, or created or received by Harrison Software on behalf of Client. If return is not feasible, the protections of this agreement will extend to such PHI.
k. In the event that Harrison Software inadvertently comes in contact with any confidential information, Harrison Software agrees not to use or further disclose such information to anyone.
l. Harrison Software further agrees to educate is personnel as to the importance of confidentiality with respect to the performance of this Agreement, and to maintain a strong confidentiality policy applicable to all of its associates who may be assigned to perform services for Client.
m. Harrison Software will take steps to ensure that its personnel remain only in authorized areas of Client premises and facilities and that they will not open any files, desks, boxes, storage cases, or any other containers that may potentially contain confidential or proprietary information.
n. Ensure that any agents or subcontractors to whom Harrison Software provides PHI, or who have access to PHI, agree to the same restrictions and conditions that apply to Harrison Software with respect to such PHI.
o. Any violations of this Agreement shall be cause for immediate termination of this Agreement without notice.
2. The specific uses and disclosures of PHI that may be made by Harrison Software on behalf of Client include:
 
a. The preparation and/or reparation of data in accordance with services provided to Client by Harrison Software.
b. Uses required for the proper management of Harrison Software as a business associate.
c. Other uses or disclosures of PHI as permitted by the HIPAA privacy rule.
